Avoid problems
What will you do if, a few hours before the closing of an important transaction,
- You are asked to produce a good standing certificate from your state of incorporation? You then discover that you forgot to file the annual report; or
- You are asked for a certificate containing the Board resolutions approving the transaction. You then remember that the approval was informal and never recorded; or
- You are asked for a certificate showing signature authority for your corporation. You cannot remember if anything was adopted along those lines; or
- You are asked for a copy of an important corporate document, such as your by-laws, and you cannot remember where you filed it.
